Terms and Conditions of Use (Website and Services)

The terms, conditions, policies and provisions which follow apply to all Users of this Lexitas (herafter the "company" or "Lexitas") website and the services referenced, described, provided, and accessible herein, including but not limited to process serving, court filing and retrieval (by e-filing and otherwise) court appearances and adjournments, private investigations, and legal research (hereafter “Services”)

BY USING THE LEXITAS WEB SITE OR ANY OTHER WEB SITE OWNED, OPERATED, LICENSED OR CONTROLLED BY LEXITAS OR ANY OF THE SERVICES, YOU SIGNIFY YOUR ASSENT TO THESE TERMS AND CONDITIONS OF USE. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS OF USE, PLEASE DO NOT USE THIS SITE OR THE SERVICES. WE RESERVE THE RIGHT, AT OUR DISCRETION, TO CHANGE, MODIFY, ADD OR DELETE PORTIONS OF THESE TERMS AND CONDITIONS AT ANY TIME, WITHOUT PRIOR NOTICE. Lexitas appreciates the opportunity to serve your court filing, process serving, private investigations and court research needs (collectively, the "Services") under the terms and conditions of these Lexitas Terms of Service (the "Terms of Service" or "Agreement"). Please carefully read and understand the entire contents of this Agreement before using the Lexitas web site or Services. Your use of the Lexitas web site, your Lexitas account created via Lexitas's website at www.lexitaslegal.com (your "Lexitas Account"), or any of Lexitas Services or products will constitute your consent and agreement to be bound by all terms and conditions of this Agreement (as amended from time to time), including, but not limited to, our Privacy Statement discussed below in the Section titled "Acceptance of Agreement." If you do not agree with the terms and conditions in this Agreement, we will be unable to provide any Services to you.

THESE TERMS OF SERVICE GOVERNING YOUR USE OF THE LEXITAS WEBSITE AND THE LEXITAS SERVICES INCLUDE A BINDING ARBITRATION PROVISION SET FORTH BELOW WHICH INCLUDES A WAIVER OF CLASS ACTIONS AND PROVISIONS FOR OPTING OUT OF ARBITRATION.
 

Acceptance of Agreement

By using the Services described in this Agreement or by using the Lexitas web site, you agree to be bound by all the terms and conditions of this Agreement (as may be amended from time to time), including, but not limited to, our Privacy Statement. You warrant that you have read our Privacy Statement, as may be amended from time to time and available at the end of this document and agree to its terms. References to "you" herein are to the customer described on the web site registration page. If you are not entering into this Agreement on your own behalf, you represent and warrant that you are legally authorized to enter into the Agreement on behalf of the party you represent and that your actions will legally bind such party.
 

Independent Contractors

You and Lexitas are independent contractors with respect to each other. Neither party is an employee, agent, representative, broker, or partner of the other. This Agreement shall not be construed to create an association, joint venture, or partnership between the parties.
 

Control of Web Site

Lexitas has sole control over the use of the Lexitas web site and has the right to prohibit or remove any materials or communications for any reason or no reason.
 

Password Protection

You are responsible for maintaining the confidentiality of the password that you will choose as part of the registration process for the Services (the "Password"). Subject to applicable law, you agree to be liable for all uses of your Password whether or not actually authorized by you, including, but not limited to uses of your Password to enter the web site and payment of filing or other fees to Lexitas or to others. You should not give your Password to anyone who is not authorized to take actions on your behalf.
 

Amendments

Lexitas may amend this Agreement at any time and will provide notice of any such amendment, on the web site. Your use of the Lexitas web site or Services after the effective date of any amendment shall constitute your consent to be bound by the Agreement as amended. In addition, by accepting or using the Lexitas web site or Services, you agree to periodically review this Agreement and be bound by any amendments to the Agreement.
 

User Affirmations and Declarations

By using the Lexitas web site, you represent, affirm and declare that (i) you agree to adhere to the laws and regulations of the jurisdiction of the court with which you are conducting business through Lexitas and that you are subject to civil and criminal penalties should you violate those laws and regulations; and (ii) you acknowledge that any information provided by Lexitas to you in the course of performing the Services may be derived from local government agency databases with respect to which Lexitas has no control, and that Lexitas shall have no liability whatsoever with respect to such information, including, without limitation, in the event any such information is inaccurate, out of date, contains errors or omissions, or is otherwise incorrect in any way. Lexitas is not responsible for notifying you of changes to court rules. At no time shall any contact between you and Lexitas constitute the giving of legal advice by Lexitas.

You understand and agree that Lexitas may advance filing fees, witness fees, etc. (collectively, "Disbursements") on your behalf in connection with the Services. Reference to "Services" in these Terms of Service includes Disbursements, unless otherwise indicated. By using the Services you will be deemed to have requested Lexitas to advance such fees and agree to repay such advances on the terms and conditions set forth in this Agreement and the applicable invoice, including a reasonable service charge for the advancement of such Disbursements.

You agree to use reasonable efforts to take precautions against the contamination of your computer systems and files by software viruses, worms or other malicious agents. At a minimum, such precautions shall include the installation, upgrading and use of commercial virus detection software to scan files and documents transmitted to Lexitas.
 

Fees

Lexitas has the sole discretion to determine the fees charged to you for using its web site or Services. Fees for the Lexitas Services may vary by jurisdiction. Lexitas generally does impose a reasonable service charge in connection with advancing funds on your behalf. Lexitas reserves the right to change its fee structure at any time. Lexitas will provide notice of any such changes to its fee structure. By accepting or using the Lexitas web site or Services after such notice is provided, you agree to be bound by any such fee changes.
 

Registration

You agree to (a) provide true, accurate, current and complete information about yourself, including mailing and email address, as prompted by any registration form and (b) maintain and promptly update the registration data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete or Lexitas has reasonable grounds to suspect that such information provided is untrue, inaccurate, not current or incomplete, Lexitas has the right to suspend or terminate your account and refuse any and all current or future use of the service (or any portion thereof). Additionally, Lexitas may terminate your access to the Web site, and its services, at any time, without notice, for any reason or no reason at all, so long as such reason is not otherwise prohibited by applicable law.
 

Credit Purchases, Invoices and Payments

Failure to provide required registration information may result in Lexitas rejecting an application for credit and other billing considerations or arrangements. All credit requests are subject to review, and acceptance or rejection by Lexitas, which decision is final in its sole discretion. Lexitas reserves the right to reject a customer for credit or other billing consideration for any cause and without reason. By making a purchase, whether by use of an accepted credit card or through the extension of credit to you by Lexitas, you agree to, represent and warrant the following (i) any credit information you supply is true and complete; (ii) you are authorized to use whatever credit card you use for payment; and (iii) to pay all amounts accrued in your account, as invoiced, at the prevailing rates and customary charges posted thereon (including charges incurred by others to whom you have given access of your account), together with a finance charge on all unpaid balances which remain unpaid after 15 days from the invoice date. Said finance charge shall accrue at the greater of 1.5% per month, or the highest rate permitted by law; and shall continue to accrue monthly on any and all unpaid balances until payment in full is received by Lexitas. Your ability to purchase is also subject to limits established by Lexitas or your credit card issuer. In the event Lexitas is required to bring legal action against you for the collection of unpaid balances due and owing to Lexitas, in addition to such unpaid balances and accrued finance charges, you agree to be responsible for Lexitas’s costs and fees necessary and incident to such legal action, including reasonable attorney fees. Lexitas may, in its sole discretion, decline service to you or terminate your account without notice for your failure to make timely payment.
 

Authorized Users and Permitted Access

Only You and your employees, temporary employees, student interns, associates, partners/members, and contractors dedicated to performing work exclusively for you (to the extent those categories of persons are appropriate to your situation) or others to whom you grant specific permission are eligible to access and use the Lexitas Website ("Eligible Persons"). The term "Authorized User" means an Eligible Person whom you have identified to Lexitas for purposes of issuing an Lexitas User ID and Password (hereafter "Lexitas ID"). Each Eligible Person who wishes to access the Lexitas Web site must have a unique Lexitas ID and thus become an Authorized User. You agree that each Lexitas ID may only be used by the Authorized User to whom Lexitas assigns and that the Lexitas ID may not be shared with or used by any other person, including other Authorized Users. You will manage your roster of Authorized Users and will promptly notify Lexitas, either through the online account management utilities created for that purpose or by direct customer service communication, to deactivate an Authorized User's Lexitas ID if the Authorized User is no longer an Eligible Person or you otherwise wish to terminate the Authorized User's access to the Lexitas Web site and Materials. You will use reasonable commercial efforts to prevent unauthorized use of Lexitas IDs assigned to your Authorized Users and will promptly notify Lexitas, in writing, if you suspect that such an Lexitas is lost, stolen, compromised or misused.
 

Restrictions on Use of Materials

Unless otherwise noted, all materials, including images, illustrations, designs, icons, photographs, video clips and other materials that are uniquely part of this Web site or any other Lexitas Web site are copyrights, trademarks, trade dress and/or other intellectual properties owned, controlled or licensed by Lexitas. No material from this Web site may be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way, except that you may download one copy of the materials on any single computer for your personal, non-commercial use only, provided you keep intact all copyright and other proprietary notices.

Modification of the materials or use of the materials for any other purpose is a violation of Lexitas’s copyright and other proprietary rights. For purposes of these terms, the use of any such material on any other Web site or networked computer environment is prohibited. All trademarks, service marks and trade names are proprietary to Lexitas. Any conduct, which restricts or inhibits any other user from using the site, or interferes with the use of the site by any other user, is a violation of these terms and conditions.
 

Discontinuing Web Site Use

These terms are effective until terminated by either party. You may terminate these terms at any time by destroying all materials obtained from any and all Lexitas Web site(s) and all related documentation and all copies and installations thereof, whether made under these terms or otherwise. Lexitas may terminate any User Account(s) and associated User IDs immediately without notice from Lexitas if in Lexitas’ sole discretion you fail to comply with any term or provision of these terms. Upon termination, you must destroy all materials obtained from this site and any and all other Lexitas Web site(s) and all copies thereof, whether made under the terms of these terms or otherwise. Lexitas may terminate the account of any user that engages in any conduct tending to interfere with, or interrupt, operation of the Web site, as determined solely by Lexitas.
 

Delays

The Lexitas Web site’s services and information are subject to interruption and delay. The User acknowledges that this is not an error free environment and that some forms of electronic transactions need substantial lead time for the transmissions of information. Lexitas shall not be liable to the User for interruption and delays.
 

Services Provided As Is - No Warranties

You agree that your use of Lexitas Services, your Lexitas Account and information on the web site is at your own and sole risk. All Services are provided on an "AS IS" and "AS AVAILABLE" basis. Lexitas disclaims all warranties and duties of any kind, express, implied or statutory, including, but not limited to, any implied warranties of merchantability or fitness for a specific purpose, non-infringement or title, duties of workman-like effort, or lack of negligence. Lexitas assumes no responsibility for errors or omissions on its web site and is not responsible in any way for the functionality, specifications, or any other aspect thereof. Lexitas does not guarantee continuous, uninterrupted or secure access to Lexitas Services, your Lexitas Account or that defects in its web site will be corrected. Lexitas reserves the right at any time and without prior notice to change the hours of operation to limit your access to Lexitas in order to perform repairs, make modifications as a result of circumstances beyond the reasonable control of Lexitas and to add or withdraw products or features to or from Lexitas at any time. You are responsible for implementing sufficient procedures to satisfy your particular requirements for protection of your system and/or accuracy of data, and for maintaining a means of reconstruction of lost data. Without limiting the above, you agree that neither Lexitas nor any of its parent corporations, subsidiaries, partners, employees, independent contractors, officers, directors, attorneys, agents, affiliates, representatives, successors and/or assigns (each a "Lexitas Party"; collectively the Lexitas Parties) makes any warranties or undertakes any duties regarding, without limitation, the following: (i) infringement of title or quiet enjoyment; (ii) functionality, including functionality of search or retrieval software; (iii) content, format, accuracy, completeness, or completion of forms; (iv) receipt (timely or otherwise), approval and/or processing of documents by courts and/or any other government agencies; (v) appropriateness or propriety of documents handled with respect to any Services; (vi) timeliness of Services; (vii) uninterrupted, secure, error or virus-free Services or storage; (viii) adequacy of fees paid to courts and/or other government agencies; (ix) any alteration or destruction of a document resulting from third parties' unauthorized access to or use of Lexitas's website (e.g. computer hackers) and (x) any losses or damages or alteration of a document or information on any party's computer system or elsewhere resulting from the transmission of computer "viruses" or other damaging or destructive software or software components by or through Lexitas.

With respect to filing documents with the court, you are solely responsible for transmitting documents correctly and in a timely fashion, for confirming the filing charges on the receipt, and for checking and responding to notifications, email or otherwise, for rejected filings or documents. If you do not receive an email confirmation within (3) days (or before the expiration of any filing or service deadline) documenting the completion of your assignment, it is your responsibility to immediately contact Lexitas and provide details of the document transmission, including the original filing or service receipt, which was generated at the time the filing or service was performed by Lexitas, to enable Lexitas to determine what action should be taken, and if necessary to manually file and serve such documents before the expiration of any applicable deadline. You waive and release any claims based upon errors, defaults, or omissions if you fail to provide notice and/or resubmit to the Court or otherwise comply with this paragraph.
 

No Incidental or Consequential Damages

To the fullest extent allowed by applicable law, you agree that none of the Lexitas Parties will be liable to you, your successors, agents, heirs or assigns, and/or any other person or entity for general, special, incidental, consequential, indirect, exemplary or punitive damages of any kind, including, but not limited to, those damages resulting from loss of use, data, sales, goodwill, or profits, failure to meet any duty (including good faith or reasonable care) whether or not Lexitas has been advised of the possibility, or under any legal or equitable theory of liability, including theories of tort, contract, or otherwise arising out of the use of the Lexitas web site or Services or the termination of your use of the Lexitas web site and Services.

YOU EXPRESSLY AGREE AND ACKNOWLEDGE THAT NONE OF THE LEXITAS PARTIES SHALL HAVE ANY LIABILITY WHATSOEVER WITH RESPECT TO ANY ACTIONS OR OMISSIONS BY ANY COURT AND/OR OTHER GOVERNMENT AGENCIES WITH WHOM ANY LEXITAS PARTY INTERACTS IN CONNECTION WITH THE SERVICES. IN PARTICULAR, NONE OF THE LEXITAS PARTIES SHALL HAVE ANY LIABILITY WITH RESPECT TO ANY COURT AND/OR GOVERNMENT AGENCY'S FAILURE TO PROPERLY OR TIMELY RECEIVE, FILE OR PROCESS ANY DOCUMENTS OR OTHER MATERIALS TRANSMITTED BY ANY LEXITAS PARTY ON YOUR BEHALF.

NO LEXITAS PARTY SHALL BE LIABLE FOR ANY LOSS, INJURY, CLAIM, LIABILITY OR DAMAGE OF ANY KIND RESULTING FROM YOUR USE OF THE LEXITAS WEB SITE, THE CONTENT, THE COMMENTS, THE INTERACTIVE AREAS, ANY FACTS OR OPINIONS APPEARING ON OR THROUGH AN INTERACTIVE AREA OR ANY THIRD PARTY COMMUNICATIONS. LEXITAS SHALL NOT BE LIABLE FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ATTORNEYS' FEES) IN ANY WAY DUE TO, RESULTING FROM, OR ARISING IN CONNECTION WITH THE USE OF OR INABILITY TO USE THIS WEB SITE, THE INTERACTIVE AREAS, THE CONTENT, THE COMMENTS, OR ANY THIRD PARTY COMMUNICATIONS.
 

Limitation of Liability

You agree that your sole remedy for any breach of this Agreement by Lexitas or any of the Lexitas Parties shall, at the option and sole discretion of Lexitas, be the following: (i) correction of any Service causing you damage; or (ii) refund of the amount you paid for the particular use of the Service that caused damages incurred by you in reasonable reliance on the Service. You also agree that the damage exclusions and this limitation of liability shall apply even if any remedy of its essential purpose fails.
 

Indemnification

You agree to indemnify, defend, protect and hold harmless all of the Lexitas Parties from and against all losses, claims, and expenses (including attorneys' fees and costs) arising out of or relating to: (i) your breach of any terms of this Agreement, (ii) the determination by a jurisdiction that you have improperly utilized the Services of Lexitas to violate the laws and regulations of the jurisdiction; (iii) your use of the Lexitas Services or your failure to pay any sums due Lexitas or any local government; or (iv) your supplying inaccurate, out of date, errors or omissions, or otherwise incorrect information as well as any action taken by you as a direct or indirect result of the information displayed on the Lexitas web site.
 

Force Majeure

Our delivery of services through the Lexitas Web site is subject to interruption and delay which may be due to causes beyond our reasonable control, such as acts of God, acts of any government, war or other hostility, civil disorder, the elements, fire, explosion, power failure, failure of equipment not under the control of either party, transmission line or communications failure or unavailability, industrial or labor dispute, inability to obtain necessary supplies and the like.

In no event will Lexitas be responsible or liable for: (1) any problem relating to telephone lines or other Internet transmission connection not entirely under our control; (2) the unavailability of telephone lines or other electronic transmission lines or devices not under our control that results in your inability to reach lexitaslegal.com for the intended purpose; (3) transmission errors resulting from or in connection with any hardware or transmission not under our control or error not due to our willful or reckless act; (4) any alteration or destruction of documents resulting from third parties' unauthorized access to lexitaslegal.com except to the extent that such access and alteration or destruction of information results directly from our willful or reckless act (5) any losses or damages or alteration or destruction of information on your computer system or elsewhere resulting from the transmission of computer viruses or other damaging or destructive software or software components by us or through lexitaslegal.com, except in the case of our willful or reckless act.
 

Links to Other Web Sites and Services

To the extent that this Web site and any other Lexitas Web site(s) contain links to outside services and resources, Lexitas does not control the availability and content of those outside services and resources. Any concerns regarding any such service or resource, or any link thereto, should be directed to the particular service or resource.
 

Third Party Rights

The provisions in this Agreement are for the sole benefit of you, the Lexitas Parties and the assigns of Lexitas and shall not inure to the benefit of any other person either as a third party beneficiary or otherwise.
 

Assignment

You may not assign any of your rights or delegate any of your duties under this Agreement without the prior written consent of Lexitas. Lexitas may assign any of its rights or delegate any of its duties hereunder to any party whatsoever.
 

Arbitration

LEXITAS AND YOU AGREE TO ARBITRATE ALL DISPUTES AND CLAIMS BETWEEN US. This agreement to arbitrate is intended to be broadly interpreted. It includes, but is not limited to: (i) claims arising out of or relating to any aspect of the relationship between us, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory; (ii) claims that arose before these or any prior Terms of Service were adopted; (iii) claims that are currently the subject of purported class action litigation in which you are not a member of a certified class; and (iv) claims that may arise after the termination of these Terms of Service.

References to "LEXITAS," "you," and "us" include our respective subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assigns, as well as all authorized or unauthorized users of the Services under these or prior Terms of Service between us, You agree, by entering into these Terms of Service, that you and Lexitas each are waiving the right to a trial by jury or to participate in a class action. These Terms of Service evidence a transaction in interstate commerce, and thus the Federal Arbitration Act governs the interpretation and enforcement of this provision. This arbitration provision shall survive termination of these Terms of Service.

Notwithstanding the above, YOU MAY CHOOSE TO PURSUE YOUR CLAIM IN COURT AND NOT BY ARBITRATION IF YOU OPT OUT OF THESE ARBITRATION PROCEDURES WITHIN 30 DAYS FROM THE DATE WHEN YOU FIRST ACCEPT THESE TERMS (the "Opt Out Deadline"). You may opt out of these arbitration procedures by calling 212.233.4040 or emailing support@lexitaslegal.com to request the opt out form. Any opt out received after the Opt Out Deadline will not be valid and you must pursue any claim in arbitration.

NOTICE OF DISPUTES. For all disputes and claims, whether pursued in court or arbitration, you must first give Lexitas an opportunity to resolve your dispute or claim by sending a written Notice of Dispute (the "Notice") to Lexitas at the following address: Office of General Counsel, Lexitas, 75 Maiden Lane, 11th Floor, New York, NY 10038. The Notice must (a) describe the nature and basis of the dispute or claim and (b) set forth the specific relief sought (a "Demand"). If Lexitas and you do not reach an agreement to resolve the dispute or claim within 30 days after Notice is received, you or Lexitas may commence an arbitration proceeding. During the arbitration, the amount of any settlement offer made by Lexitas or you shall not be disclosed to the arbitrator until after the arbitrator determines the amount, if any, to which you or Lexitas is entitled.

The arbitration will be governed by the Commercial Arbitration Rules and Supplementary Procedures for Consumer Related Disputes (collectively, the "AAA Rules") of the American Arbitration Association ("AAA"), as modified by these Terms of Service and will be administered by the AAA. The AAA rules are available at www.adr.org or by calling 1-800-778-7879. The arbitrator is bound by the terms of these Terms of Service. The arbitrator, and not any federal, state or local court or agency, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability or formation of these Terms of Service, including but not limited to, any claim that all or any part of these Terms of Service are void or voidable.

The payment of all AAA filing, administration and arbitrator fees for any arbitration initiated hereunder will be governed by the AAA Rules; provided, however that for claims under $75,000 as to which you provided notice and negotiated in good faith as required above before initiating arbitration, if the arbitrator finds that you are the prevailing party in the arbitration, you will be entitled to a recovery of reasonable attorneys' fees and costs. Except for claims under $75,000 determined to be frivolous, Lexitas agrees not to seek an award of attorneys' fees in such arbitration proceedings even if an award is otherwise available under applicable law.

Unless Lexitas and you agree otherwise, any arbitration hearings will take place in the state and county of your billing address.

CLASS ACTION WAIVER. YOU AND LEXITAS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Lexitas agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. If you choose to pursue your claim in court by opting out of the arbitration provision as specified above, this Class Action Waiver provision will not apply to you. Neither you, nor any other customer, can be a class representative, class member, or otherwise participate in a class, consolidated, or representative proceeding without having complied with the opt out requirements above.

JURY TRIAL WAIVER. If a claim proceeds in court rather than through arbitration, WE EACH WAIVE ANY RIGHT TO A JURY TRIAL.
 

Waiver, Jurisdiction and Venue

The failure of you, Lexitas, or any third party supplier of materials or information to enforce any provision hereof shall not constitute or be construed as a waiver of such provision or of the right to enforce it at a later time.

These terms and conditions shall be governed by and construed in accordance with the laws of the State of New York without regard to its conflict of law rules. If you timely and successfully opted out of arbitration, You agree that any action at law or in equity arising out of or relating to these terms and conditions shall be filed only in the State or Federal Court in New York County, New York and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action. If any provision of these terms and conditions shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these terms and conditions and shall not affect the validity or enforceability of any remaining provisions.
 

Not Legal Advice

The information contained at this Web site and any other Lexitas Web site has been prepared by Lexitas as a service to its Users and the Internet community and is not intended to constitute legal advice.
